- Manage public-company securities compliance, including Forms 10-K, 10-Q, 8-K, and Section 16 filings.
- Lead earnings disclosures and coordinate investor communications; review investor presentations, press releases, and website disclosures.
- Manage disclosure calendars, SEC comment tracking, and filing timelines; serve as the primary in-house contact for outside securities counsel.
- Support board and committee governance, including preparing materials and minutes, and monitor evolving SEC rules and guidance.
- Support SPAC lifecycle and other transaction-related securities matters, IPO readiness, public-company onboarding, and transfer agent onboarding.
- Coordinate sanctions screening and OFAC checks, and partner with finance and external advisors on close-phase execution and scalable disclosure processes.
🛠️ Requirements
- JD from an accredited law school
- 6–10+ years of experience in public company securities law
- Large law firm (Am Law 100) and/or senior in-house public company experience
- Deep familiarity with Exchange Act reporting and disclosure controls
- Experience reviewing investor and marketing materials
- Strong judgment, attention to detail, and ability to independently own complex workstreams
- Must have an active, good-standing license with the State Bar of California
- Prior SPAC or de-SPAC experience
- Experience supporting IPO readiness or public company onboarding
- Ability to operate effectively in a fast-paced, evolving environment
